2024 AGM & Bylaw Update

AGM Details

The annual general meeting (AGM) of the Wild Sheep Foundation of Alberta (WSFAB) will be held Friday March 1, at 1:00 p.m. The location is the BALLROOM at the Westin Calgary International Airport hotel. The AGM may run up to three hours in length.

Our AGM is open to any current member of the WSFAB. We will be checking in members and proxyholders upon arrival. Pursuant to Section 2.5 of our bylaws members, must be members in good standing at least 30 days prior to the date of the AGM to be able to cast a vote for the in the director elections.

The itinerary of the AGM will be:

  • President’s remarks from Matt Mellon;
  • A presentation of the prior year’s financials from Treasurer Cameron Ware;
  • An update on projects from Southern Director Mike Smith;
  • A discussion on the m.ovi breakout in 2023;
  • New bylaw vote;
  • Executive elections;
  • Director elections;

Bylaws

The board of directors is proposing to replace the current bylaws of WSFAB with the bylaws which have been sent out with this notice. The re-draft of the bylaws is intended to simplify the bylaws and remove any unnecessary, cumbersome, or confusing provisions. The new bylaws otherwise maintain the spirit and intent of the original bylaws.

The new bylaws will be voted on as a whole and will not be able to be amended in the meeting or voted in in part. If you have any questions on the new bylaws please feel free to email James Bartlett at [email protected] anytime between now and the AGM. The bylaws need to be approved by 75% of the members in attendance, otherwise the resolution will fail and the current bylaws will remain in place.

Elections

Two executive positions are open for election – the Secretary and the President. In accordance with our bylaws, only persons who have been a director for at least one year prior to the election may run for an executive position. Current directors who are seeking an executive position will be given 2 minutes to introduce themselves and give any remarks they feel appropriate. If there is only one person running for a position, the position will be acclaimed and there will be no election.

Five director positions are open for election. Anyone who is interested in running for a director position is encouraged to email an expression of interest to [email protected]. We will also accept nominations from the floor day of, as we have done in the past. Before the election each person seeking a director position will be given 2 minutes to introduce themselves and give any remarks they feel appropriate.

If a current director is elected to an executive position and thereby vacates his or her non-executive director position, another open director position will become available.

Proxy Voting

If you are unable to attend the AGM, but wish to appoint a proxyholder to vote in your stead you may do so by nominating the proxy holder through the completion of this online form. https://wsfab.org/ProxyVoting/
